1. Services

Forged Web LLC provides web design, development, maintenance, SEO, and related digital services as agreed upon in writing (proposal, contract, or statement of work).

2. Project Scope

All work is defined in a written agreement. Any work outside that scope will be treated as additional work and may incur extra charges.

3. Payment Terms

  • A deposit of 25% is required before work begins, unless otherwise agreed upon in a written agreement
  • Remaining balance due upon completion or per milestone schedule
  • Late payments may result in:
    • Work stoppage
    • Late fees per month
    • Website being switched off

4. Revisions & Changes

  • Includes agreed upon in writing rounds of revisions unless otherwise stated
  • Additional revisions are billed at $150/hour, unless otherwise agreed upon in a written agreement

5. Client Responsibilities

The client agrees to:

  • Provide all required content, assets, and feedback in a timely manner
  • Ensure they have rights to all materials provided
  • Respond to approvals within a reasonable timeframe

Delays in client response may extend project timelines.

6. Intellectual Property

  • Final deliverables become the client’s property only after full payment
  • The agency retains the right to:
    • Showcase work in portfolio/marketing, unless otherwise agreed upon in a written agreement.
    • Reuse non-proprietary code/components

7. Third-Party Services

Projects may include third-party tools (e.g., hosting, plugins, APIs).
The agency is not responsible for:

  • Failures or downtime of third-party services
  • Ongoing costs associated with those services

8. Website Performance & SEO

The agency does not guarantee:

  • Search engine rankings
  • Specific traffic or revenue outcomes

We implement best practices but results depend on many external factors.

9. Maintenance & Support

Unless a maintenance agreement is in place:

  • Ongoing updates, backups, and security are the client’s responsibility.
  • Post-launch support is limited to 3 months, unless otherwise agreed upon in a written agreement such as when utilizing web management services.

10. Termination

Either party may terminate the agreement:

  • With written notice
  • Client is responsible for payment for all work completed up to termination, unless otherwise agreed upon in a written agreement.

Deposits are non-refundable.

11. Limitation of Liability

Forged Web LLC is not liable for:

  • Lost profits, data, or business interruptions
  • Damages exceeding the total project cost

12. Indemnification

The client agrees to indemnify and hold harmless the agency from claims arising from:

  • Client-provided content
  • Misuse of the website

13. Confidentiality

Both parties agree to keep confidential information private unless disclosure is required by law.

14. Governing Law

This agreement is governed by the laws of the State of TN.

15. Acceptance

By engaging services, the client agrees to these Terms of Service.
